Terms of Service
1. Acceptance of Terms
By accessing or using the VidSynth AI website at https://vidsynth.app, interacting with our browser-based demonstration viewports, or participating in any Early Access Pilot or Enterprise Compute evaluation (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Services on behalf of a studio, company, or other organization, you represent that you have authority to bind that organization to these Terms.
2. Product Description
VidSynth Studio — Neural VFX Production Suite is a neural visual effects and video synthesis project designed to support character transformation, semantic rotoscoping, depth-guided relighting, identity anchor preservation, and camera motion conditioning.
The publicly accessible website currently operates in Sandbox Preview Mode, providing interactive inspection of pre-rendered reference plates and technical architecture specifications. Access to server-side neural rendering and custom compute workflows is offered solely through invitation-only Early Access Pilot cohorts or custom Enterprise Compute agreements.
3. Early Access and Closed Beta
Participation in the VidSynth Early Access Pilot or Closed Beta is subject to review, technical fit, and compute capacity availability. Submission of an early access request via email does not guarantee admission, compute credits, or service-level commitments.
Pilot features are provided for evaluation, testing, and collaborative research feedback. Pilot access may be modified, rate-limited, or concluded at any time as model architectures and cloud infrastructure evolve.
4. Eligibility
You must be at least the age of legal majority in your jurisdiction of residence (and in any event at least 18 years old) to request Early Access Pilot participation or enter into a commercial compute evaluation with VidSynth AI.
5. Account and Access Responsibilities
If you are granted credentials, API tokens, or dedicated workspace access during an Early Access Pilot or Enterprise Compute engagement, you are responsible for maintaining the confidentiality of those credentials and restricting access to authorized personnel within your organization. You agree to notify founder@vidsynth.app promptly if you suspect any unauthorized use of pilot access credentials.
6. Acceptable Use Policy
You agree not to use VidSynth AI, its reference assets, or any pilot rendering capabilities to:
- Generate non-consensual likenesses, deceptive impersonations ("deepfakes" intended to defraud or defame), or non-consensual intimate imagery;
- Process video or image assets depicting minors in any exploitative, harmful, or unlawful manner;
- Infringe the copyright, trademark, publicity, privacy, or moral rights of any performer, creator, studio, or third party;
- Attempt to reverse-engineer, scrape, disrupt, or overload our hosting infrastructure or pilot compute endpoints; or
- Violate any applicable local, national, or international law or regulation.
7. User-Submitted Content
When submitting video plates, reference images, or conditioning prompts during an authorized pilot or enterprise evaluation ("User-Submitted Content"), you represent and warrant that you hold all necessary rights, licenses, talent releases, and permissions required to submit such media and to authorize VidSynth AI to process it on your behalf.
8. Intellectual Property
The VidSynth AI website, user interface design, software code, documentation, custom R&D reference plates, brand marks, and underlying conditioning pipeline architectures are owned by VidSynth AI and its creator(s) and are protected by applicable copyright and intellectual property laws. Except for the limited right to browse and inspect the public preview website in accordance with these Terms, no license or ownership interest in VidSynth AI's proprietary technology is transferred to you.
9. Ownership of Uploaded Video and Image Assets
You retain all existing ownership rights in the original video and image assets that you lawfully submit to VidSynth AI during a pilot or enterprise engagement, subject to any underlying third-party rights. You grant VidSynth AI a limited, non-exclusive license to host, process, transform, and transmit your submitted assets solely as necessary to execute the requested workflow, maintain pipeline security, and provide technical support for your evaluation.
VidSynth AI does not use confidential client production plates to train public foundation models unless explicitly agreed in a separate written agreement.
10. AI-Generated Output
Subject to your compliance with these Terms and any applicable pilot or commercial agreement, and to the extent permitted by applicable law, VidSynth AI claims no ownership over the conditioned video sequences, alpha mattes, or depth passes generated specifically from your authorized input assets ("Output").
Important Legal Qualification: Laws governing the copyrightability and exclusive ownership of AI-assisted and machine-generated media vary by jurisdiction and continue to evolve. Accordingly, VidSynth AI cannot guarantee that AI-generated Output will qualify for exclusive copyright protection in every jurisdiction, nor can we warrant that generative outputs will be unique where similar conditioning parameters or public base models are used. You are responsible for reviewing Outputs prior to commercial distribution.
11. Third-Party Technology
VidSynth Studio's research and production workflows may incorporate open-source software libraries, third-party machine learning checkpoints, and third-party cloud infrastructure. Use of specific third-party model weights or open-source components may be subject to their respective upstream licenses, which will be disclosed to pilot participants where applicable.
12. Experimental Features and Availability
Generative video synthesis and neural visual effects conditioning are rapidly advancing, experimental technologies. Outputs may exhibit temporal artifacts, segmentation inaccuracies, lighting discrepancies, or unexpected visual behavior.
We do not guarantee uninterrupted uptime, fixed rendering latency, unlimited compute capacity, or error-free outputs. Features demonstrated in Sandbox Preview Mode represent reference R&D capabilities and may differ from final production releases.
13. Limitation of Liability
To the maximum extent permitted by applicable law, VidSynth AI and its founder, contributors, and service providers shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of production schedules, profits, revenue, data, or business opportunities arising out of or related to your use of (or inability to use) the website, Sandbox Preview, or Early Access Pilot.
Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable consumer protection or statutory laws in your jurisdiction.
14. Disclaimer of Warranties
Except as expressly stated in a separate written agreement executed by VidSynth AI, the website, Sandbox Preview, and Early Access Pilot are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular production purpose, or non-infringement.
15. Suspension and Termination
We reserve the right to suspend or terminate pilot participation or access to our services if we reasonably determine that you have violated the Acceptable Use Policy, misrepresented your identity or authorization, or created a security or legal risk for VidSynth AI or third parties. You may discontinue your use of the website or withdraw from an Early Access Pilot at any time by notifying founder@vidsynth.app.
16. Modifications to Terms
We may update these Terms from time to time to reflect technical, operational, or legal developments. Updated Terms will be posted at https://vidsynth.app/terms.html with a revised effective date. Continued use of the Services after an update constitutes acceptance of the revised Terms.
17. Governing Law
These Terms shall be governed by and construed in accordance with the applicable laws of [INSERT VERIFIED GOVERNING JURISDICTION UPON FORMAL INCORPORATION / COMMERCIAL AGREEMENT], without regard to conflict-of-law principles, except where mandatory local laws in your jurisdiction require otherwise.
18. Official Contact
